2010 Sustainability Report Confirms

American & Efird’s Commitment to Environmental Responsibility

Leading Sewing Thread Manufacturer Reduces Emissions By 7.7%

MOUNT HOLLY, NC, December 20, 2011 – American & Efird - (A&E) one of the world’s leading manufacturers of sewing thread, embroidery yarns and technical textiles for worldwide industrial markets, today announced the release of its transparent 2010 Sustainability Report which details its 7.7 percent reduction in greenhouse gas emissions over the past five years.

One of the first thread manufacturers to adopt a global standard of measurement, A&E uses critical data to scrutinize its engineering protocols, equipment specs, and emerging technology, with the express purpose of upgrading systems and continuing its trend in greenhouse gas emission reduction.

“In spite of the best practices we have implemented throughout our 120 year history, in 2009 we launched an Eco-Driven program that consists of Ten Threads of Sustainability as a formal series of goals and objectives that continue to drive our day to day activities, at all of our global facilities, in the direction of sustainability,” said John Eapen, Vice President Environmental, Health & Safety at American & Efird.  “By adhering to the strict guidelines on all fibers, dyes, chemicals, lubricants and manufacturing processes that are used worldwide to manufacture thread; we were able to see tremendous reduction of our carbon footprint, and our water and energy consumption.”

The study analyzed the actual results of all of its global yarn spinning and dyeing and finishing facilities in which A&E has ownership.  Categories measured in the report include global carbon footprint, water conservation, energy consumption, recycling, product stewardship, and Eco-Driven education & involvement.  A summary of results are as follows:

Global Carbon Footprint[1]

  • 7.7 percent reduction over the past five years.
  • In 2009, A&E observed a reduction in the total emissions, with a slight increase in 2010, which is directly attributed to a boost in production between 2009 and 2010.

Water Conservation

  • 9.6 percent reduction in total water consumption from 2005 to 2010.
  • The reduction equals about 1.2 million cubic meters, which is roughly equivalent to the total daily usage of 8.6 million people in India or 25 million people in Bangladesh.

Energy Consumption

  • 4.5 percent reduction in total energy usage over the past five years.
  • This reduction equals 68 million kilowatt hours or the approximate annual energy consumption of almost 14,570 European families.
  • An increase in total energy consumption from 2009 to 2010 is a direct result of improved volume in production.

Recycling

  • A&E is 95 percent to its goal of “Zero Waste to Landfill” in the U.S.
  • The remaining five percent will be accomplished through employee training and an improved waste separation process.

Product Stewardship

  • A&E passed its annual certification with Oeko-Tex to provide customers comfort and security in knowing that A&E products do not contain hazardous chemicals.  Oeko-Tex Certification is generally defined as a “voluntary hazardous chemical certification program.”  In addition to annual submission for testing, A&E receives random audits throughout the year.
  • A&E continues to follow the standards set forward by the American Apparel and Footwear Association (AAFA) Restricted Substance List (RSL), which provides global standards for chemicals and substances that are restricted or banned in the production of home textile, apparel and footwear products.  The list is revised bi-annually.

Eco- Driven Education & Involvement

  • A&E is very active in helping promote involvement in sustainable activities.  A&E representatives speak frequently to industry groups and customers about sustainability and their own Eco-Driven activities.

CHARLOTTE, N.C., Oct 27, 2011 (BUSINESS WIRE) –Ruddick Corporation (NYSE: RDK) (the “Company”) announced today that it entered into a definitive agreement with two newly formed affiliates of KPS Capital Partners, LP (”KPS”) to sell all of its ownership interest in its wholly-owned subsidiary, American & Efird, Inc. (”A&E”) for $180 million in cash consideration (the “Purchase Price”), subject to adjustments as described below.

The Purchase Price is subject to adjustments for working capital and certain liabilities including under funded pension liability and foreign debt. The amount of the adjustment will be dependent on various factors including the timing of the closing of the transaction. Closing of the transaction is expected to occur in the Company’s first quarter of fiscal 2012, which ends January 1, 2012, and is subject to closing conditions. As a result of the transaction, the Company expects to record pre-tax non-cash impairment losses and other related expenses totaling between $42 and $48 million in the fourth quarter of fiscal 2011, which ended October 2, 2011. The after-tax impact to our fourth quarter results is expected to range between $33 million, or $0.68 per diluted share and $37 million, or $0.75 per diluted share. Additional expenses, primarily related to the settlement of the pension liability and other employee benefit plans will be determined at closing and are expected to be recorded in the first quarter of fiscal 2012. The amount of these losses will include adjustments for the recognition of a pro-rata share of the pension plan’s accumulated unrecognized net actuarial losses currently included in Accumulated Other Comprehensive Income and the impact from allocating existing plan assets under pension regulations. These non-cash charges are currently estimated to be approximately $66 million before tax and $40 million after tax, or $0.81 per diluted share. Additionally, adjustments for changes in the plan’s funded status from the Company’s fiscal year end until closing will be made and cannot presently be estimated.

For more than twenty years, A&E has put in place programs to ensure that their products attain the industry’s highest standards, often establishing those industry standards themselves. A&E trusts Oeko-Tex® to provide the product safety certification that meets its own stringent requirements as well as those of its customers around the world.

“With our large, global manufacturing network, Oeko-Tex® Standard 100 certification ensures that our products consistently meet the high quality and product safety standards we expect no matter where they are made,” says John Eapen, A&E’s Vice President, Environmental, Health and Safety. “Many of our worldwide customers require Oeko-Tex certification and all of them appreciate it.”

Oeko-Tex Standard 100 certification ensures that products are tested to be free from harmful levels of more than 100 substances that are believed to be dangerous to human health. In addition, Oeko-Tex tests for color fastness and pH levels. The Oeko-Tex Restricted Substances List is constantly reviewed to confirm that it reflects the strictest global regulatory requirements, the most current textile chemistry and manufacturing processes, and the latest medical knowledge.

“Product safety is a key component of A&E’s total sustainability strategy,” continues Eapen. “Safe products are sustainable products. First, we develop products that are harmless for the people who make and use them then we make those products in ways that are socially and environmentally responsible. We have taken this approach for more than two decades.”

A&E is committed to sustainability for the entire textile industry. As chair of the American Apparel and Footwear Association’s Environmental Committee, Eapen worked with other industry leaders to create the first AAFA Restricted Substances List (RSL) which was published in 2007. Release 7 will be published in early October 2010. The AAFA’s RSL is intended to provide apparel and footwear companies with information related to regulations and laws that restrict or ban certain chemicals and substances in finished home textile, apparel, and footwear products around the world. Committee members included Oeko-Tex representatives and Oeko-Tex’s RSL and review process were used as one of the models for the AAFA’s RSL program.

A&E has been recognized many times for their many achievements in social responsibility, employee health and safety, and business ethics.
